Every Florida LLC must keep a registered agent on file with the Division of Corporations. Under Chapter 605 of the Florida Statutes, that agent needs a physical street address in Florida (no P.O. boxes), must be available during normal business hours to accept service of process, and must have agreed in writing to take the role. Florida LLCs must file an annual report with Sunbiz between January 1 and May 1 each year. Miss May 1 and the state adds a $400 late fee. Keep missing it and the Division administratively dissolves the company, usually in the fall.
